Mr. Bevilacqua, founding member of Bevilacqua PLLC, counsels companies from startups to those listed on NYSE American or NASDAQ. He brings extensive experience in public offerings and private placements (including Rule 506(c), crowdfunding, and Regulation A+ offerings), Exchange Act compliance, and various equity and debt financings. He also advises on mergers, acquisitions, and business combinations, including “roll up” transactions, reverse mergers, and De-SPAC transactions. With significant experience, he understands the unique needs of microcap public companies and represents clients with international operations across China, Taiwan, Latin America, Europe, Israel, and Australia. Previously, Mr. Bevilacqua was a partner in the Corporate and Securities group at Pillsbury Winthrop Shaw Pitman LLP and co-founded Digital Offering LLC, an SEC-registered broker-dealer where he served as President and General Counsel. He graduated Cum Laude from Fordham University and earned his Juris Doctor from Fordham University School of Law, where he was a member of the Order of Coif. Mr. Bevilacqua is Chambers ranked in Capital Markets.
